By accessing or using our website (nevolending.com), our client portal, or any of our digital tools, application forms, or online services (collectively, the "Services"), you agree to comply with and be bound by these Terms of Service ("Terms"). These Terms represent a binding contract between Nevo Capital LLC ("we," "us," or "our"), doing business as Nevo Lending ("Nevo Lending"), and you, as an individual user or as an authorized representative of your business entity.

To apply for or manage loans, you must register for an account via our secure portal. You represent that the information you provide is true, accurate, and current. You are solely responsible for maintaining the confidentiality of your login credentials (username and password) and for any and all activity that occurs under your account. You agree to notify Nevo Lending immediately of any unauthorized access or security breach.

4. Lending Decisions & Letters of Intent

Any digital pre-qualifications, pricing indicators, or letters of intent (LOIs) issued by our platforms are not binding offers to lend and do not guarantee funding. No loan is officially committed until full asset underwriting, property valuation, legal documentation, and entity standing audits have been completed and approved in writing by our credit committee.

5. Electronic Communications and Signatures

By using our digital platform, you consent to receive electronic communications (emails, SMS alerts, or portal notifications) regarding your active applications, draw requests, and loan statuses. You agree that all electronic signatures, entity consents, and digital document uploads executed on our portal carry the same legal weight as traditional paper-based signatures under federal and state law (including the ESIGN Act).

6. Intellectual Property & Prohibited Use

All content, branding, logos, graphics, calculations, pre-qualification code, and visual mockups on our website and portal are the exclusive property of Nevo Capital LLC (dba Nevo Lending). You are granted a limited, non-exclusive, non-transferable license to access our platform solely to apply for and manage active loan files. You agree not to copy, reverse-engineer, scrape, or extract our code or layout designs for commercial resale or replication.

7. Limitation of Liability

Our services and website contents are provided on an "as is" and "as available" basis, without warranties of any kind, whether express or implied. To the maximum extent permitted by commercial law, Nevo Capital LLC, its members, and affiliates will not be liable for any indirect, incidental, special, or consequential damages resulting from your use of or inability to access our platform or any delayed disbursement times.

8. Governing Law & Jurisdiction

These Terms of Service and any transactional disputes related to our credit facilities are governed by, and construed in accordance with, the laws of the State of Arizona, without giving effect to any principles of conflicts of law. Any legal actions or proceedings must be initiated exclusively in the state or federal courts located in Maricopa County, Arizona.
